1 . Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of SeoReels, including our website, dashboard, and related services (collectively, the "Service"), provided by SeoReels, Inc. ("SeoReels," "we," "us," or "our").

By creating an account, connecting a YouTube channel, or otherwise using the Service, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree, you may not use the Service.

If you are using the Service on behalf of a company, agency, or other organization, you represent that you have the authority to bind that organization to these Terms, and "you" refers to both you and that organization.

2 . Eligibility and Accounts

You must be at least 16 years old and able to form a binding contract to use the Service. By using the Service, you represent that you meet this requirement.

2 . 1 Account Security

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account, whether or not you authorized it. Notify us immediately at support@seoreels.com of any unauthorized use or suspected security breach.

2 . 2 Accurate Information

You agree to provide accurate, current, and complete information when creating your account and to keep that information up to date, including billing details and the YouTube channel(s) you connect.

3 . Description of the Service

SeoReels is a dashboard that connects to your YouTube channel and provides SEO scoring, trending keyword research, AI auto-clipping, AI thumbnail generation, viral topic suggestions, and competitor analytics.

The Service relies in part on the YouTube Data API and Google OAuth to read and, where you authorize it, update information associated with your connected channel. Your use of YouTube remains subject to Google's and YouTube's own terms and policies, which we do not control.

We may add, change, or discontinue features of the Service at any time. We will make reasonable efforts to communicate material changes in advance, but we are not obligated to maintain any specific feature indefinitely.

4 . Subscriptions and Billing

SeoReels is offered on a subscription basis through the Creator, Pro, and Agency plans described on our Pricing page. Subscriptions are billed in advance on a recurring monthly or annual basis, depending on the billing cycle you select.

Payments are processed securely by our payment processor, Stripe. By subscribing, you authorize us to charge your chosen payment method automatically at the start of each billing period until you cancel.

Subscriptions renew automatically at the then-current price unless cancelled before the renewal date. We will provide at least 30 days' notice before any price increase takes effect on your account.

You are responsible for any applicable sales, use, or value-added taxes associated with your subscription, which may be added to your invoice depending on your billing location.

Monthly plans renew every 30 days from your original signup date
Annual plans renew on the same calendar date one year later, at the discounted annual rate
Failed payments may result in a temporary pause of premium features until payment is resolved
Switching between monthly and annual billing takes effect at your next renewal

5 . Your Content and License to Us

You retain all ownership rights to the video files, titles, descriptions, and other material you upload or connect to the Service ("Your Content"). We do not claim ownership over Your Content.

By using the Service, you grant SeoReels a limited, non-exclusive, worldwide license to access, host, process, and analyze Your Content solely to provide and improve the Service for you, including generating SEO scores, clips, and thumbnails.

Clips, thumbnails, keyword suggestions, and other outputs generated by the Service from Your Content ("Generated Outputs") belong to you. You are responsible for reviewing Generated Outputs before publishing them, including for accuracy and compliance with YouTube's policies.

We do not use Your Content to train third-party AI models without your explicit opt-in consent, which can be managed from your account settings at any time.

6 . Acceptable Use

You agree not to misuse the Service. Prohibited conduct includes, without limitation:

Using the Service for any unlawful purpose or in violation of any applicable regulation
Uploading or connecting content you do not have the rights to use
Attempting to gain unauthorized access to the Service, other users' accounts, or our systems
Scraping, crawling, or accessing the Service through automated means outside of any API we officially provide
Reverse engineering, decompiling, or attempting to extract the source code or underlying models of the Service, except as expressly permitted by law
Interfering with or disrupting the integrity, performance, or security of the Service
Using the Service to violate YouTube's Terms of Service or Community Guidelines
Reselling or sublicensing access to the Service without our prior written consent

7 . Intellectual Property

SeoReels and its licensors retain all rights, title, and interest in the Service, including all software, machine learning models, scoring methodologies, documentation, and branding. These Terms do not grant you any rights to our trademarks, logos, or brand features.

Any feedback, suggestions, or ideas you submit to us about the Service may be used by us without restriction or obligation to you.

8 . Third-Party Services

The Service integrates with third-party platforms, including Google/YouTube for channel connection and Stripe for payment processing. Your use of these integrations is also subject to the respective third party's terms and privacy policies.

We are not responsible for the availability, accuracy, or practices of third-party services, and any changes YouTube or Google make to their APIs or policies may affect features of the Service.

9 . Termination

You may cancel your subscription and close your account at any time from your account settings. Cancellation takes effect at the end of your current billing period.

We may suspend or terminate your access to the Service if you breach these Terms, fail to pay applicable fees, engage in conduct that harms other users or the Service, or if required to do so by law.

Upon termination, your right to use the Service ends immediately. Sections of these Terms that by their nature should survive termination, including Intellectual Property, Disclaimers, Limitation of Liability, and Governing Law, will survive.

10 . Disclaimers

The Service is provided "as is" and "as available," without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

SEO scores, keyword suggestions, clip selections, and thumbnail recommendations are estimates generated from available data and do not guarantee any particular ranking, view count, subscriber growth, or revenue outcome. YouTube's algorithm and policies are outside of our control and may change at any time.

11 . Limitation of Liability

To the maximum extent permitted by law, SeoReels, Inc. and its officers, employees, and licensors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or in connection with your use of the Service.

To the maximum extent permitted by law, our total aggregate liability arising from or related to these Terms or the Service will not exceed the amount you paid us in the twelve months preceding the event giving rise to the claim.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

12 . Indemnification

You agree to indemnify and hold harmless SeoReels, Inc. from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your use of the Service, Your Content, or your violation of these Terms or applicable law.

13 . Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles.

Before filing a formal claim, you agree to first contact us at support@seoreels.com so we can attempt to resolve the dispute informally. If a dispute is not resolved within 30 days, it may be brought in the state or federal courts located in Delaware, and both parties consent to the exclusive jurisdiction of those courts.

14 . General Provisions

These Terms, together with our Privacy Policy and any other referenced policies, constitute the entire agreement between you and SeoReels regarding the Service.

Severability: if any provision of these Terms is found unenforceable, the remaining provisions remain in full effect
No waiver: our failure to enforce a right or provision is not a waiver of that right or provision
Assignment: you may not assign these Terms without our written consent; we may assign these Terms in connection with a merger, acquisition, or sale of assets
Force majeure: we are not liable for delays or failures caused by events beyond our reasonable control

15 . Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via email or in-app notice at least 14 days before taking effect. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
